Your account
You need an account to use the Service. You are responsible for the accuracy of your account information, for maintaining the security of your account, and for all activity that occurs under it. Use a strong, unique password, and notify us immediately at hello@huddle.so if you know or suspect that your account has been accessed without your permission. We are not liable for losses caused by unauthorized use of your account that results from your failure to keep your credentials secure. You may not sell, transfer, or share your account, or create accounts by automated means.
Your Content
4.1 You own your Content
Your Content belongs to you. Nothing in these Terms transfers ownership of Your Content to us, and we do not claim any ownership rights in it.
4.2 The license you give us
To run a social platform, we need your permission to do technical and operational things with Your Content: store it on our servers, back it up, format and display it on different devices, and deliver it to the people you share it with. So, when you submit Content to the Service, you grant Huddleverse a non-exclusive, royalty-free, worldwide license to host, store, reproduce, adapt (for technical purposes such as formatting, resizing, or creating previews), publish, and distribute Your Content solely as needed to operate, provide, and improve the Service.
This license comes with commitments from us:
- We do not sell Your Content or license it to third parties for their own independent commercial use.
- We will not use Your Content in our advertising or marketing without asking you first.
- The license is non-exclusive, meaning you remain free to post, sell, license, or do anything else with your own Content anywhere else, at any time.
- The license ends when you delete Your Content or your account, except (a) where Your Content has been shared with others and they have not deleted it, (b) for a reasonable period needed to remove it from backups and caches, and (c) where we are required to retain it by law or to enforce these Terms.
4.3 Your responsibilities
You are solely responsible for Your Content. By submitting Content, you confirm that you have the rights necessary to post it and to grant the license above, and that it complies with these Terms and the Community Guidelines. Other users' Content does not represent our views, and we do not endorse it.
Acceptable use
Our Community Guidelines describe in detail what is and isn't okay on Huddle, and they form part of these Terms. In addition, by using the Service you agree not to:
- Violate any applicable law or regulation, or the rights of any person;
- Post or share Content that is unlawful, defamatory, pornographic, hateful, harassing, threatening, or that otherwise violates the Community Guidelines;
- Solicit, groom, sexualize, exploit, or endanger minors in any way, or otherwise contravene the Child Safety Standards stated in our Privacy Policy;
- Encourage or promote suicide, self-harm, or eating disorders;
- Share Content that infringes copyright, trademark, or other intellectual property rights, including pirated or leaked material;
- Attempt to gain unauthorized access to the Service, other users' accounts, or other users' personal information;
- Circumvent or attempt to circumvent any security or moderation measures of the Service, including bans and suspensions;
- Upload malware or malicious code, or disrupt any network, equipment, or server connected to the Service;
- Use bots, scrapers, or other automated means to access the Service or collect data from it, including for training artificial intelligence models, without our prior written consent;
- Mirror, frame, or manipulate the display of the Service without our prior written consent; or
- Use the Service for unauthorized commercial activity, spam, or scams.
Fan content and intellectual property
6.1 Fan works
Huddle is a home for fandoms, and fan works (such as fan art, edits, fan fiction, covers, and commentary) are a huge part of that. You are responsible for ensuring your fan works comply with applicable law and these Terms. Rights holders sometimes object to particular uses of their works, and where we receive a valid infringement notice we will act on it as described below, even if the content is non-commercial fan work.
6.3 Fan communities are unofficial
Communities, accounts, and content on Huddle are created and operated by fans, not by the artists, studios, publishers, developers, leagues, brands, or individuals they celebrate. Unless expressly stated by the relevant rights holder, no community, account, or content on the Service is created, operated, sponsored, endorsed, or approved by any third party, and no affiliation with any third party is stated or implied. You must not present any community, account, or content as official, authorized, or affiliated with any person or rights holder unless it genuinely is, and we may remove designations, names, or content that falsely suggest official status.
6.4 Third-party trademarks and affiliation disclaimer
Fandom names, titles, logos, marks, and other identifiers that appear on the Service, on the huddle.so website, or in our marketing materials — including the fandom logos displayed in the carousels on our website — are the trademarks and property of their respective owners. They are displayed solely for nominative, illustrative, and informational purposes: to identify and describe the kinds of fan communities that users have created or may create on the Service. Their display does not state or imply, and Huddleverse expressly disclaims, any affiliation, association, connection, or partnership with, or any sponsorship, endorsement, licensing, or approval by, any such owner. Huddleverse is an independent company, and the Service is an independent platform. All rights in third-party trademarks and works remain with their respective owners, and nothing in these Terms grants you or us any rights in them.
6.5 Huddle's illustrative artwork
The illustrated characters and artwork displayed on our website, app welcome screens, and marketing materials are original works of authorship created by or for Huddleverse as a general celebration of fan culture and of the breadth of communities that fans build. These illustrations are Huddleverse's own creative expression: they do not depict, reproduce, or substitute for any third party's characters or works, are not presented as such, and any resemblance to existing characters, properties, or persons is for illustrative and referential purposes only. Their display does not state or imply any affiliation with, or sponsorship, endorsement, or approval by, any rights holder.
6.6 Copyright complaints (notice and takedown)
We respect intellectual property rights and expect users to do the same. If you are a rights holder (or their authorized agent) and believe content on the Service infringes your copyright, send a notice to hello@huddle.so including:
- Identification of the copyrighted work;
- The location (URL or sufficient description) of the allegedly infringing material;
- Your contact information;
- A statement that you have a good-faith belief the use is not authorized by the rights holder, their agent, or the law;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act for them; and
- Your physical or electronic signature.
We will remove or disable access to content in response to valid notices, notify the user who posted it, and accept counter-notices where the user believes the removal was a mistake or misidentification. Where a valid counter-notice is received, we may restore the content unless the complainant informs us they have initiated legal proceedings. We terminate the accounts of repeat infringers. Trademark owners who believe content on the Service infringes their marks may use the same address, and we will review and act on valid complaints.
6.7 Huddle's intellectual property
The Service itself — including our software, design, branding, logos, and the content we create — belongs to Huddleverse or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. Except for Your Content, you may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. For clarity, this section applies to our materials, not to Your Content, which is addressed in Section 4.
Coins, Virtual Items, and purchases
The Service may offer Coins and other Virtual Items for purchase or as rewards. Virtual Items are licensed to you, not sold: you receive a limited, personal, non-transferable, revocable license to use them within the Service. Virtual Items have no monetary value, cannot be exchanged for cash, and may not be sold, traded, or transferred outside the Service. Purchases are processed by the app store or payment provider through which you buy them (for example, the Apple App Store or Google Play) and are subject to their terms, including their refund policies. Except as required by applicable law or by the relevant platform's policy, all purchases are final and non-refundable, including when an account is terminated for violating these Terms. We may change, manage, or discontinue Virtual Items at any time with reasonable notice where practicable. If you have an active subscription, cancel it before deleting your account to avoid further charges.
Moderation, suspension, and termination
We want enforcement to be fair and proportionate. If Content or an account violates these Terms or the Community Guidelines, we may remove Content, apply warnings, restrict features, or suspend or terminate accounts. For severe violations (such as child endangerment or credible threats of violence), we ban immediately and permanently, and where appropriate we report to the relevant authorities. Except where doing so would create risk (for example, in cases involving safety, security, or legal restrictions), we will tell you when we take significant action against your account and give you an opportunity to appeal by contacting hello@huddle.so. We retain the right to suspend or terminate access to the Service where reasonably necessary, including for violations of these Terms, legal requirements, or risks to the Service or its users. You may stop using the Service and delete your account at any time. Sections of these Terms that by their nature should survive termination (including Sections 4.2, 9, 10, 11, and 13) will survive.
Disclaimers
9.1 The Service is provided "as is"
We work hard to keep Huddle running well, but the Service and all content on it are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of accuracy, reliability, availability, or fitness for a particular purpose, to the maximum extent permitted by law. Content posted by users is theirs, not ours, and we make no representations about it and do not endorse it.
9.2 Not professional advice; not an emergency service
Content on the Service — including anything posted by users, moderators, or us — is for general information and entertainment only and is not professional advice of any kind, including medical, mental health, legal, or financial advice. Huddleverse is not a healthcare provider, no patient-client relationship is created by using the Service, and the Service does not provide emergency services. Never disregard or delay seeking professional advice because of something you read on the Service. If you need medical or mental health support, contact a qualified professional; in an emergency, contact your local emergency services or a crisis line immediately.
9.3 Third-party links and services
The Service may contain links to third-party websites or services that we do not own or control. We are not responsible for their content, policies, or practices, and a link does not imply our endorsement. Your use of third-party websites and services is at your own risk and subject to their terms. We are not a party to, and are not responsible for, transactions between you and third parties.
Limitation of liability
To the maximum extent permitted by applicable law, Huddleverse and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages. To the maximum extent permitted by applicable law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us in the twelve (12) months before the event giving rise to the claim, and (b) one hundred Singapore dollars (S$100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including in some jurisdictions liability for death or personal injury caused by negligence, or for fraud. If you are a consumer, you may have rights under the laws of your country of residence that these Terms do not affect.
Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless Huddleverse, its employees, and agents from and against damages, losses, and reasonable expenses (including reasonable legal fees) arising from or relating to: (a) Your Content; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party. This obligation does not apply to the extent a claim arises from our own breach of these Terms or our negligence.
Changes to the Service and these Terms
Huddle will keep evolving, and we may add, change, or remove features of the Service. We may also update these Terms from time to time. If we make material changes, we will give you reasonable advance notice (for example, by email or an in-app notice) before they take effect, except where changes are required by law or address an urgent safety issue. The "Last revised" date at the top reflects the latest version. If you continue to use the Service after updated Terms take effect, you agree to them; if you do not agree, you should stop using the Service and may delete your account.
Governing law and disputes
These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of the Republic of Singapore, and you agree to submit to the non-exclusive jurisdiction of the courts of Singapore. If you are a consumer resident in a jurisdiction whose laws grant you mandatory protections or the right to bring proceedings in your local courts, nothing in this section deprives you of those protections or rights.
General
These Terms, together with the Community Guidelines and the Privacy Policy, are the entire agreement between you and Huddleverse regarding the Service. By using the Service, you acknowledge that you have read and agreed to our Privacy Policy at https://huddle.so/privacy, and you consent to our collection, use, and disclosure of your personal information as described there. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
